Managing Liability of Officers Under Corporate Law

The Companies Act 2016 which replaced the Companies Act 1965 has extensively made changes to company law. One of the major changes is attaching liabilities to officers.
The term officers itself may catch many off guard as it is not akin to what is commonly understood. Additionally, liabilities are attached on officers for conduct which is considered unacceptable from a legal perspective.

Hence, it is essential that officers are cognizant of these provisions and manage their liabilities within the parameters of the law. Otherwise, they could be liable unnecessarily. Case law has proven this further as can be observed since the enactment of the Companies Act 2016.
